1. INTRODUCTION AND ACCEPTANCE
1.1 About Wishki
Wishki ("Platform") is a professional networking ecosystem for the real estate industry, owned and operated by Wishdone Private Limited ("Company," "We," "Us," or "Our"), a company incorporated under the Companies Act, 2013, having its registered office at 401, Jeevan Parisar, Rajeev Nagar, Raipur, Chhattisgarh 492004, India.
The Platform enables brokers, real estate builders, buyers, sellers, tenants, architects, painters, plumbers, interior designers, contractors, and other real estate professionals and stakeholders ("Users") to connect, communicate, share professional updates, and discover relevant content and services across India.
1.2 Acceptance of Terms
These Terms and Conditions ("Terms") constitute a legally binding agreement between You and Wishdone Private Limited governing Your access to and use of the Platform, including all associated mobile applications (iOS and Android), website, features, content, and services (collectively, the "Services").
By creating an account, accessing, browsing, or using the Platform in any manner, You acknowledge that You have read, understood, and agree to be bound by these Terms, Our Privacy Policy (available at [Privacy Policy URL]), and any Community Guidelines published on the Platform. If You do not agree with any part of these Terms, You must immediately cease using the Platform and delete Your account
1.3 Modification of Terms
We reserve the right to modify, amend, or update these Terms at any time. We will notify You of any material changes at least fifteen (15) days before such changes take effect through email notification to Your registered email address and a prominent notice on the Platform. Your continued use of the Platform after the effective date of the modified Terms constitutes Your acceptance of the updated Terms. If You do not agree with any modifications, You must discontinue use of the Platform and may request deletion of Your account before the effective date.
2. ELIGIBILITY
2.1 Age Requirement
You must be at least eighteen (18) years of age to create an account or use the Platform. By registering, You represent and warrant that You are 18 years or older and are competent to enter into a binding contract under the Indian Contract Act, 1872. We do not knowingly permit individuals under 18 years of age to use the Platform.
2.2 Legal Capacity
You represent and warrant that You have the legal capacity and authority to enter into these Terms. If You are accessing the Platform on behalf of a business, company, partnership, or other legal entity, You represent and warrant that You have the authority to bind that entity to these Terms, and "You" refers to both You individually and such entity.
2.3 Compliance with Laws
You agree to comply with all applicable local, state, national, and international laws, rules, and regulations in connection with Your use of the Platform, including but not limited to the Information Technology Act, 2000, the Real Estate (Regulation and Development) Act, 2016 ("RERA"), applicable state RERA rules, the Consumer Protection Act, 2019, and the Indian Penal Code / Bharatiya Nyaya Sanhita, as applicable.
2.4 Geographical Scope
The Platform is intended for use within India. While the Platform may be accessible from locations outside India, We make no representations that the Services are appropriate or available for use in other jurisdictions. Users accessing the Platform from outside India do so at their own risk and are responsible for compliance with local laws.
3. PLATFORM DESCRIPTION AND DISCLAIMERS
3.1 Nature of the Platform
Wishki is a technology platform that provides tools and infrastructure for real estate professionals and stakeholders to connect, communicate, and share information. Wishdone Private Limited is NOT a real estate company, real estate agent, broker, builder, developer, or property dealer. The Company is not registered under the Real Estate (Regulation and Development) Act, 2016 (RERA) in any state or union territory of India.
3.2 Intermediary Status
Wishdone Private Limited operates as an "intermediary" as defined under Section 2(1)(w) of the Information Technology Act, 2000. The Platform is a facilitator that provides a medium for Users to interact, connect, and share information. We do not initiate, select, or modify the information transmitted or stored on the Platform by Users, except as required for content moderation under applicable law.
3.3 No Real Estate Advice
The Platform does not provide real estate advice, property valuations, legal opinions, financial guidance, architectural advice, or any form of professional consultation. Any information, content, or opinions shared by Users on the Platform are those of the respective Users and do not represent the views, opinions, or endorsement of Wishdone Private Limited.
3.4 No Guarantee of Transactions
Wishki does not guarantee, endorse, or facilitate any real estate transaction, property sale, purchase, lease, rental agreement, or service engagement between Users. Any transaction or arrangement entered into between Users is solely between the parties involved. Wishdone Private Limited shall not be a party to, and shall bear no liability arising from, any such transaction or arrangement.
3.5 Listing Accuracy
We do not independently verify the accuracy, completeness, authenticity, or legality of any property listing, professional claim, credential, photograph, floor plan, document, or other Content posted by Users on the Platform. Users are advised to independently verify all information, visit properties in person, check RERA registration status on the respective state RERA website, and conduct due diligence before entering into any transaction or engagement.
4. ACCOUNT REGISTRATION AND SECURITY
4.1 Account Creation
To access certain features of the Platform, You must create an account by providing accurate, complete, and current registration information. You may register using Your email address and phone number, or through third-party login services including Google Sign-in, Apple Sign-in, and Facebook Login. You agree to keep Your registration information updated and accurate at all times.
4.2 KYC and Identity Verification
Professional Users including brokers, builders, architects, and other service providers may be required to submit identity verification and KYC documents, including Aadhaar (voluntary), PAN, GSTIN, and RERA registration number. By submitting KYC documents, You represent and warrant that the documents are genuine, valid, current, and belong to You; that You have the legal right to provide such documents; and that all information provided is true, accurate, and not misleading.
Submission of Aadhaar is entirely voluntary. The Platform does not mandate the submission of Aadhaar for registration or use of Services, in compliance with the Supreme Court of India's ruling in
K.S. Puttaswamy v. Union of India (2018).
4.3 Account Security
You are responsible for maintaining the confidentiality of Your account credentials and for all activities that occur under Your account. You agree to immediately notify Us at support@ wishki.com of any unauthorised use of Your account or any other breach of security. Wishdone Private Limited shall not be liable for any loss or damage arising from Your failure to safeguard Your account credentials.
4.4 One Account Per Person
Each individual is permitted to create and maintain only one (1) account on the Platform. Creating multiple accounts is a violation of these Terms and may result in suspension or termination of all accounts associated with the individual.
5. USER CONTENT AND LICENSING
5.1 Your Content
You retain ownership of all Content that You create, upload, post, share, or transmit on the Platform ("Your Content"). Wishdone Private Limited does not claim ownership of Your Content.
5.2 License Grant to Wishki
By posting, uploading, sharing, or transmitting Your Content on the Platform, You grant Wishdone Private Limited a non-exclusive, royalty-free, transferable, sublicensable, worldwide licence to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, display, and perform Your Content in connection with operating, promoting, and improving the Platform and Services. This licence is limited to the purpose of operating the Platform and shall not extend to unrelated commercial exploitation of Your Content.
5.3 Licence Duration
The licence granted under Section 5.2 continues for as long as Your Content remains on the Platform. Upon deletion of Your account or specific Content, the licence terminates, except that: (a) Content that has been shared, commented upon, quoted, or redistributed by other Users may persist in the context of those Users' activity; (b) cached or archived copies may persist for a reasonable period in backup systems; and (c) the licence survives to the extent necessary for compliance with legal obligations.
5.4 Content Representations
By posting Content, You represent and warrant that You own or have the necessary rights, licences, and permissions to post and share such Content; that Your Content does not infringe, misappropriate, or violate the intellectual property rights, privacy rights, or any other rights of any third party; that Your Content is accurate and not misleading; and that Your Content complies with these Terms, applicable law, and Our Community Guidelines.
5.5 Content Moderation
Wishdone Private Limited reserves the right, but has no obligation, to review, monitor, edit, disable, refuse, or remove any Content, in whole or in part, at its sole discretion, for any reason, including but not limited to Content that We believe violates these Terms, Our Community Guidelines, or applicable law, or that may be harmful, objectionable, inaccurate, or otherwise inappropriate.
5.6 Direct Message Monitoring
As disclosed in Our Privacy Policy, direct messages on the Platform are NOT end-to-end encrypted. Wishdone Private Limited retains the technical ability and reserves the right to access, review, and moderate the content of direct messages for the purposes of enforcing these Terms; detecting and preventing spam, fraud, scams, and harassment; responding to legal processes, court orders, or law enforcement requests; and protecting the safety and security of Users and the Platform.
6. COMMUNITY GUIDELINES AND PROHIBITED CONDUCT
6.1 General Standards
You agree to use the Platform in a manner that is professional, lawful, respectful, and consistent with the purpose of a professional networking ecosystem. You shall not engage in any activity that disrupts, damages, or impairs the functioning of the Platform or the experience of other Users.
6.2 Prohibited Content
You shall not post, upload, share, transmit, or otherwise make available on the Platform any Content that:
(a) Is defamatory, obscene, pornographic, paedophilic, invasive of another's privacy (including bodily privacy), insulting or harassing on the basis of gender, libellous, racially or ethnically objectionable, or otherwise unlawful in any manner, as described under Section 67 and Section 67A of the IT Act;
(b) Harms, threatens, or intimidates minors in any way;
(c) Infringes any patent, trademark, copyright, design right, or other intellectual property right of any third party;
(d) Violates any applicable law, statute, ordinance, or regulation;
(e) Deceives or misleads the addressee about the origin of the message or knowingly communicates misinformation or grossly offensive or menacing information;
(f) Impersonates any person or entity, or falsely represents an affiliation with any person or entity;
(g) Contains fraudulent, false, or misleading property listings, pricing, availability, or professional credentials;
(h) Threatens the unity, integrity, defence, security, or sovereignty of India, friendly relations with foreign states, or public order, or incites the commission of any cognisable offence, or prevents investigation of any offence, or is insulting to any foreign nation;
(i) Promotes hatred, discrimination, or violence against any individual or group on the basis of religion, caste, race, ethnicity, place of birth, language, gender, sexual orientation, disability, or any other ground;
(j) Contains software viruses, malware, Trojan horses, worms, or any other malicious code designed to interrupt, destroy, or limit the functionality of any computer resource;
(k) Is patently false and untrue, and is written or published in any form, with the intent to mislead or harass a person, entity, or agency for financial gain or to cause injury to any person;
(l) Constitutes unsolicited spam, chain letters, pyramid schemes, or commercial solicitation outside the intended features of the Platform.
6.3 Prohibited Activities
You shall not:
(a) Use any automated system, bot, scraper, spider, crawler, or any other automated means to access, collect data from, or interact with the Platform without Our prior written consent;
(b) Interfere with, disrupt, or place undue burden on the Platform's servers, networks, or infrastructure;
(c) Attempt to gain unauthorised access to any portion of the Platform, other User accounts, or any systems or networks connected to the Platform;
(d) Use the Platform to collect or harvest personally identifiable information of other Users without their consent;
(e) Circumvent, disable, or interfere with any security-related features of the Platform;
(f) Use the Platform for any purpose that is unlawful or prohibited under these Terms;
(g) Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Platform;
(h) Create a false identity, misrepresent Your affiliation with any person or entity, or impersonate another User or professional;
(i) Use the Platform to facilitate any real estate transaction that violates applicable RERA rules or other regulatory requirements;
(j) Post or share property listings for properties that do not exist, are not available, or for which You do not have the right to advertise.
6.4 Reporting Violations
Users may report Content or conduct that violates these Terms or Community Guidelines through the reporting features available on the Platform. We will review reports and take appropriate action, which may include Content removal, account warning, suspension, or termination.
7. AI-POWERED FEATURES
7.1 Description of AI Features
The Platform provides AI-powered features including content creation assistance, intelligent content search, and content verification tools ("AI Features"). These AI Features are provided as tools to assist You and are intended to supplement, not replace, Your own judgment and professional expertise.
7.2 No Training on User Data
Wishki's AI Features process Your requests on-demand and in real time. Wishdone Private Limited does NOT use Your Personal Data, Content, inputs, conversations, or any other information to train, fine-tune, retrain, or otherwise improve any AI or machine learning models. AI inputs and outputs are processed transiently and are not retained for model improvement purposes.
7.3 AI Output Disclaimers
AI-generated content, suggestions, search results, and verification outputs are provided "AS IS" without any warranty of accuracy, completeness, reliability, or fitness for any particular purpose. AI outputs do not constitute professional advice, real estate advice, legal advice, financial advice, or architectural advice. You are solely responsible for reviewing, verifying, and validating any AI- generated content before using, publishing, or relying upon it. Wishdone Private Limited shall not be liable for any decisions made or actions taken based on AI-generated outputs.
7.4 AI Output Ownership
You may use AI-generated outputs created through Your use of the AI Features in connection with the Platform. However, similar or identical outputs may be independently generated for other Users.
Wishdone Private Limited makes no representations regarding the intellectual property status of AI- generated outputs and does not guarantee exclusivity of any AI output.
7.5 Restrictions on AI Use
You shall not use the AI Features to generate Content that violates these Terms or Community Guidelines; to create deceptive, misleading, or fraudulent content; to generate content that infringes the intellectual property rights of third parties; to attempt to extract, replicate, or reverse-engineer the underlying AI models or algorithms; or to circumvent any safety measures, filters, or restrictions built into the AI Features.
8. PROFESSIONAL DIRECTORY
8.1 Directory Listings
The Platform includes a directory feature that allows Users to search for and discover real estate professionals including brokers, builders, architects, painters, plumbers, interior designers, and other service providers ("Directory"). Professionals may create and maintain listings with information about their services, areas of operation, experience, and credentials.
8.2 No Endorsement
Inclusion of any professional in the Directory does NOT constitute an endorsement, recommendation, certification, or guarantee by Wishdone Private Limited of the professional's qualifications, competence, reliability, integrity, or quality of services. The Directory is a searchable database of self- reported information provided by the professionals themselves.
8.3 No Credential Verification Guarantee
While the Platform may facilitate KYC and credential submission, Wishdone Private Limited does not independently verify the professional qualifications, RERA registration status, licences, certifications, insurance, or experience of professionals listed in the Directory unless explicitly stated otherwise.
Users are strongly advised to independently verify credentials through relevant authorities, including state RERA portals (available at respective state RERA websites), GST verification portal (gst.gov.in), and other applicable regulatory bodies.
8.4 No Agency Relationship
No agency, employment, partnership, joint venture, or franchise relationship is created between Wishdone Private Limited and any professional listed in the Directory, or between any Users who connect through the Platform. Professionals listed on the Platform are independent parties and are not agents, employees, or representatives of Wishdone Private Limited.
9. INTELLECTUAL PROPERTY
9.1 Platform Intellectual Property
The Platform, including but not limited to the Wishki name, logo, trademarks, service marks, trade dress, domain names, proprietary software, source code, algorithms, AI models, database structure, user interface design, graphics, layout, and all Content created by Wishdone Private Limited, is the exclusive property of Wishdone Private Limited and is protected under the Copyright Act, 1957, the Trade Marks Act, 1999, the Patents Act, 1970, and applicable international intellectual property laws.
You are granted a limited, non-exclusive, non-transferable, revocable licence to access and use the Platform for its intended purpose, subject to these Terms. This licence does not include the right to copy, modify, distribute, sell, lease, sublicence, or create derivative works from any part of the Platform or its Content, except Your own Content as permitted under Section 5.
9.2 Feedback
If You provide Us with any feedback, suggestions, ideas, or improvements regarding the Platform ("Feedback"), You hereby assign to Wishdone Private Limited all rights, title, and interest in such Feedback, and We are free to use such Feedback without restriction or compensation to You.
9.3 Copyright Complaint Mechanism
If You believe that any Content on the Platform infringes Your copyright or other intellectual property rights, You may submit a written notice to Our Grievance Officer at support@ wishki.com containing: identification of the copyrighted work claimed to have been infringed; identification of the allegedly infringing Content and its location on the Platform; Your contact information; a statement that You have a good faith belief that the use is not authorised by the copyright owner, its agent, or the law; and a statement, under penalty of perjury, that the information in the notice is accurate and that You are the owner or authorised to act on behalf of the owner.
10. THIRD-PARTY SERVICES AND LINKS
10.1 Third-Party Login Services
The Platform supports registration and login through third-party services including Google Sign-in, Apple Sign-in, and Facebook Login. Your use of these services is subject to the respective terms and privacy policies of Google, Apple, and Meta Platforms. Wishdone Private Limited is not responsible for the practices or content of these third-party services.
10.2 Third-Party Links
The Platform may contain links to third-party websites, applications, or services that are not owned or controlled by Wishdone Private Limited. We do not endorse, control, or assume responsibility for the content, privacy policies, or practices of any third-party websites or services. Accessing third-party links is at Your own risk.
10.3 Third-Party Analytics
The Platform uses third-party analytics services including Firebase Analytics, Google Analytics, and Meta Pixel, as described in Our Privacy Policy. These services operate under their own terms and privacy policies.
11. PAYMENT TERMS
11.1 Current Services
As of the effective date of these Terms, the Platform is available to Users free of charge.
11.2 Future Paid Features
Wishdone Private Limited reserves the right to introduce paid features, subscription plans, listing fees, transaction fees, sponsored content options, premium services, or in-app purchases in the future ("Paid Features"). Any Paid Features will be clearly identified with applicable pricing before You are required to make payment. Introduction of Paid Features will be notified to Users in advance.
11.3 Applicable Terms for Paid Features
When Paid Features are introduced, additional payment terms, including pricing, billing cycles, refund policies, cancellation procedures, and applicable taxes (including GST), will be published and incorporated into these Terms or presented as separate supplementary agreements. Use of Paid Features will be subject to acceptance of such additional terms.
12. DISCLAIMERS AND LIMITATION OF LIABILITY
12.1 "As Is" and "As Available" Basis
The Platform and all Services are provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, whether express, implied, or statutory, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, and quiet enjoyment. Wishdone Private Limited does not warrant that the Platform will be uninterrupted, error-free, secure, virus-free, or that defects will be corrected.
12.2 No Liability for User Content
Wishdone Private Limited shall not be liable for any Content posted, uploaded, shared, or transmitted by Users on the Platform, including but not limited to the accuracy, completeness, legality, or reliability of property listings, professional claims, credentials, photographs, documents, or any other User-generated Content. The views and opinions expressed in User Content are those of the respective Users and do not represent the views of Wishdone Private Limited.
12.3 No Liability for Transactions
Wishdone Private Limited shall not be liable for any transaction, agreement, arrangement, or engagement entered into between Users, including but not limited to property sales, purchases, rentals, lease agreements, service contracts, or any financial dealings. All such transactions are solely between the respective Users, and any disputes arising therefrom shall be resolved between the parties directly.
12.4 Limitation of Aggregate Liability
To the maximum extent permitted by applicable law, the aggregate liability of Wishdone Private Limited and its directors, officers, employees, agents, affiliates, and licensors, arising out of or in connection with these Terms, the Platform, or the Services, whether in contract, tort (including negligence), strict liability, or otherwise, shall not exceed the greater of: (a) the total amount of fees paid by You to Wishdone Private Limited for the specific Service giving rise to the claim during the twelve (12) months immediately preceding the event giving rise to such liability; or (b) One Thousand Indian Rupees (INR 1,000).
12.5 Exclusion of Consequential Damages
To the maximum extent permitted by applicable law, in no event shall Wishdone Private Limited be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or damages for loss of profits, goodwill, use, data, business opportunities, or other intangible losses, even if advised of the possibility of such damages, arising out of or in connection with Your use of or inability to use the Platform or Services.
12.6 RERA Awareness
Users acknowledge and agree that they are aware of the provisions of the Real Estate (Regulation and Development) Act, 2016 (RERA) and applicable state RERA rules. Users are advised to check the RERA registration status of projects and agents on the respective state RERA websites before entering into any real estate transaction. Wishdone Private Limited does not verify RERA compliance of any User, project, or listing on the Platform.
13. INDEMNIFICATION
You agree to indemnify, defend, and hold harmless Wishdone Private Limited, its directors, officers, employees, agents, affiliates, licensors, and service providers from and against any and all claims, demands, actions, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees and court costs) arising out of or in connection with:
(a) Your use of the Platform or Services;
(b) Your Content, including any claims that Your Content infringes or misappropriates the intellectual property rights or other rights of any third party;
(c) Your breach of any representation, warranty, or obligation under these Terms;
(d) Your violation of any applicable law, rule, regulation, or the rights of any third party;
(e) Any real estate transaction, agreement, or engagement entered into by You with another User through or in connection with the Platform;
(f) Any fraudulent, false, or misleading information, content, or documents provided by You on the Platform; and
(g) Your negligence or wilful misconduct.
This indemnification obligation shall survive termination of these Terms and Your account.
14. ACCOUNT SUSPENSION AND TERMINATION
14.1 Termination by You
You may terminate Your account at any time by using the account deletion feature on the Platform or by contacting Us at support@ wishki.com. Upon termination, Your right to access and use the Platform will cease immediately. Deletion of Your account and associated Personal Data will be processed in accordance with Our Privacy Policy.
14.2 Suspension or Termination by Us
Wishdone Private Limited reserves the right to suspend, restrict, or terminate Your account and access to the Platform, without prior notice or liability, for any reason, including but not limited to: breach of these Terms or Community Guidelines; fraudulent, illegal, or harmful activity; failure to provide accurate registration or KYC information; posting false or misleading Content; court order, government directive, or legal requirement; inactivity for a continuous period of three (3) years; or any other reason that We determine, in Our sole discretion, warrants such action.
14.3 Effect of Termination
Upon termination: Your licence to access and use the Platform is immediately revoked; We may delete Your Content and data in accordance with Our Privacy Policy; any licences granted by You under Section 5.2 shall survive to the extent described in Section 5.3; Sections that by their nature should survive termination shall continue in full force and effect, including Sections 5.2–5.3, 9, 12, 13, 15, 16, and 17.
15. DISPUTE RESOLUTION
15.1 Amicable Resolution
In the event of any dispute, controversy, or claim arising out of or relating to these Terms, the Platform, or the Services ("Dispute"), the parties shall first attempt to resolve the Dispute amicably through good faith negotiation for a period of thirty (30) days from the date of written notice of the Dispute by one party to the other.
15.2 Arbitration
If the Dispute is not resolved through negotiation within the thirty (30) day period, the Dispute shall be referred to and finally resolved by binding arbitration under the Arbitration and Conciliation Act, 1996, as amended, subject to the following:
(a) Seat and Venue: The seat and venue of arbitration shall be Raipur, Chhattisgarh, India.
(b) Number of Arbitrators: The arbitration shall be conducted by a sole arbitrator mutually agreed upon by the parties. If the parties are unable to agree on an arbitrator within fifteen (15) days of the referral to arbitration, the arbitrator shall be appointed in accordance with the provisions of the Arbitration and Conciliation Act, 1996.
(c) Language: The arbitration proceedings shall be conducted in English.
(d) Costs: Each party shall bear its own costs and expenses in connection with the arbitration, and the costs of the arbitrator and venue shall be shared equally unless the arbitral award provides otherwise.
(e) Confidentiality: The arbitration proceedings and any award rendered shall be confidential and shall not be disclosed to any third party except as required by law or for the purpose of enforcement.
(f) Award: The arbitral award shall be final and binding on the parties and may be enforced in any court of competent jurisdiction.
15.3 Court Jurisdiction
Notwithstanding Section 15.2, any Dispute that is not subject to arbitration, or any application for interim or injunctive relief, shall be subject to the exclusive jurisdiction of the competent courts at Raipur, Chhattisgarh, India. The parties irrevocably submit to the exclusive jurisdiction of such courts.
16. GOVERNING LAW
These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of laws principles. Any reference to a statute includes all subordinate legislation, amendments, re-enactments, and replacements from time to time.
17. GENERAL PROVISIONS
17.1 Force Majeure
Wishdone Private Limited shall not be liable for any failure or delay in performance of its obligations under these Terms resulting from events beyond its reasonable control, including but not limited to acts of God, natural disasters (earthquake, flood, cyclone, tsunami), fire, epidemic, pandemic, war, terrorism, riot, civil commotion, government action or restriction, sanctions, embargo, labour disputes, internet or telecommunications failure, power outage, cyberattack, DDoS attack, or any other event or circumstance that is beyond the reasonable control of the Company ("Force Majeure Event"). The Company's obligations shall be suspended for the duration of the Force Majeure Event, and the Company shall use reasonable efforts to mitigate the effects of such event.
17.2 Entire Agreement
These Terms, together with Our Privacy Policy, Community Guidelines, and any supplementary terms or agreements expressly incorporated by reference, constitute the entire agreement between You and Wishdone Private Limited with respect to the subject matter hereof, and supersede all prior or contemporaneous oral or written agreements, communications, proposals, and representations.
17.3 Severability
If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid, legal, and enforceable, and the remaining provisions shall continue in full force and effect.
17.4 Waiver
The failure of Wishdone Private Limited to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver must be in writing and signed by an authorised representative of Wishdone Private Limited to be effective.
17.5 Assignment
You may not assign or transfer these Terms or any rights or obligations hereunder without the prior written consent of Wishdone Private Limited. Wishdone Private Limited may assign these Terms and its rights and obligations hereunder to any affiliate, successor, or acquirer without Your consent, subject to notice being provided to You.
17.6 No Third-Party Beneficiaries
These Terms are entered into solely between You and Wishdone Private Limited. Nothing in these Terms is intended to or shall confer any rights, benefits, or remedies upon any third party.
17.7 Notices
All notices under these Terms shall be in writing and shall be deemed effectively given: (a) upon personal delivery; (b) upon confirmed email transmission to the email addresses specified herein; or
(c) one (1) business day after deposit with a nationally recognised overnight courier service.
